OFFICIAL RULES, PARTICIPATION AGREEMENT,
AND PRIVACY NOTICE (“OFFICIAL RULES”)

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO WIN A PRIZE IN THE CARDENAS PAGA SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

PARTICIPATION IN THE SWEEPSTAKES CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE OFFICIAL RULES. THESE OFFICIAL RULES ARE SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 15, BELOW.

SWEEPSTAKES DESCRIPTION: The Cardenas Paga Sweepstakes (“Sweepstakes”), is a way to give back to our loyal customers, thank them for their patronage, and raise awareness of the new Cardenas Loyalty Program. Each day during the Sweepstakes one (1) Cardenas Loyalty member per store will be randomly selected to have their groceries paid for, exclusions apply. Participation in the Sweepstakes constitutes your agreement to be bound by these Official Rules, the Cardenas Loyalty Program Application (“App”) Terms and Conditions, and constitutes your acceptances of your information being collected and used in accordance with Sponsor’s Privacy Policy.

SWEEPSTAKES PERIOD: The Sweepstakes will begin on September 11, 2024, at 07:00:00 AM Pacific Daylight Time (“PDT”) for the Cardenas stores located in Las Vegas, NV and will continue until October 8, 2024, at 10:00:00 PM PDT (collectively, the “Sweepstakes Period”). Sponsor’s computer is the official time-keeping device for the Sweepstakes. A day is the 24-hour period beginning at 12:00:00 AM and ending that same day at 11:59:59 PM (a “Day”).

SPONSOR: All references to “Cardenas” and “Sponsor” shall refer to Cardenas Markets LLC, 2501 E. Guasti Rd., Ontario, CA 91761.

WHO IS ELIGIBLE TO PLAY/WIN: The Sweepstakes is open only to residents of Nevada, who are at least thirteen (13) years of age and registered members of the Cardenas Loyalty Program (“Participant”). The foregoing eligibility requirements are void where prohibited by law.

The decisions of the Sponsor shall be final and binding with respect to all aspects of the Sweepstakes. Winning any prize requires that the Potential Winner (further defined below) of the prize is, and remains, in compliance with these Official Rules. Unless a Participant is verified to be eligible and in compliance with these Official Rules, the Participant is, and will remain, a “Potential Winner,” unless the Potential Winner is disqualified for not complying with the Official Rules. Sponsor reserves the right to disqualify any Potential Winner who Sponsor, in its sole discretion, determines is not permitted by law to receive a prize or has not complied with the Official Rules.

HOW TO PLAY DURING SWEEPSTAKES PERIOD: No purchase or payment is required to play or win in the Sweepstakes, and a purchase does not increase your odds of winning. Participating in the Sweepstakes does not guarantee winning. During the Sweepstakes Period, one (1) Cardenas Loyalty Rewards member will be randomly selected each Day in each store to have up to two hundred dollars ($200) of their transaction paid for by the Sponsor. Any alcohol or gift card purchase in the transaction will be excluded and must be paid for by the Potential Winner.

Cardenas Loyalty members making in-store purchases may be notified when they scan their App or enter the phone number associated with their Cardenas Loyalty account that they have been selected as a Potential Winner. The Potential Winner will then be asked if they consent to have their picture taken and shared on Cardenas’ social media and used in marketing. Online purchases made through grocery delivery services, including, but not limited to, Uber Eats, Doordash, Instacart or other online merchants are not eligible for participation in the Sweepstakes.

PRIZES AND ODDS: Odds are based on the average number of transactions a Day per store across Cardenas stores. Potential winners will be selected one (1) per Day per store. The odds of being selected as a winner are approximately 1 in 700 per Cardenas store per Day. Sponsor is utilizing software that will randomly select one Participant per Day per store when the App is scanned or phone number associated with the Cardenas Loyalty account is entered at the point-of-sale device.

PRIZE CLAIM/REDEMPTION REQUIREMENTS AND VERIFICATION: Acceptance of a prize offered constitutes express permission to use Winner’s name, biographical information and/or likeness for purposes of advertising and promotion without further compensation as permitted by law and constitutes permission to disclose the Winner’s name where required.

By entering the Sweepstakes and accepting a prize, the winning Participant grants permission to Sponsor to use Winner’s name, likeness, and biographical information in connection with the Sweepstakes and announcement of the Winners and for other marketing purposes without further compensation or right of approval, unless prohibited by law. Winners understand that Sponsor may publish the Winner’s name, likeness and biological information on Sponsor’s website and social media platforms (including, but not limited, Facebook and Instagram). All federal and state laws apply.

GENERAL PRIZE RESTRICTIONS: If a Potential Winner is disqualified for any reason, Sponsor can award the prize to another Participant or not award the prize at Sponsor’s sole discretion. All details and other restrictions of prizes not set forth in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (including without limitation, federal, state, and/or local income taxes) on or connected with any prize, and the reporting consequences thereof, are solely the responsibility of respective Prize Winners.

CANCELLATION; MODIFICATION: Sponsor reserves the right to cancel or modify this Sweepstakes, including these Official Rules, in a manner it deems appropriate or in the event there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the Sweepstakes, or any other problem or issue that prevents the Sweepstakes from running as planned. Any such modification will be posted here.
PUBLICITY RELEASE: Once a Potential Winner is selected. The Potential Winner will be asked to consent to the use of the name and a photograph on Cardenas’ social media accounts and in marketing relating to the Sweepstakes and the Cardenas Loyalty Rewards program. The Potential Winner grants Cardenas permission to use their name, photograph, and the store location in any and all of its publications relating to the Sweepstakes and the Cardenas Loyalty Rewards program (the “Purpose”) without payment, including royalties, recognition, or other consideration. All photos are the property of Cardenas and will not be returned, edited, removed, published, or otherwise altered on request. Cardenas is authorized to edit, alter, copy, exhibit, publish, or distribute the photos in connection with the Purpose. The photos may be sent to service providers or vendors to create marketing materials. Cardenas, its owners, officers, shareholders, managers, employees, agents, and delegates are released from any and all claims and demands by reason of the photos and the Sweepstakes.
PRIVACY NOTICE: By participating in the Sweepstakes, Participants consent to the Sponsor’s use of their personal information submitted or collected in connection with the Sweepstakes in accordance with and subject to the terms of the Sponsor’s Privacy Policy, available at https://elranchoinc.com/privacy/, which is incorporated by reference as if re-stated in full herein.
RELEASES AND LIMITATION OF LIABILITY: By participating in this Sweepstakes, Participant waives all rights to, and releases and holds Sponsor, each participating store and each of their affiliated, parent or subsidiary companies, and each of its respective employees, officers, directors, agents, representatives, owners, managers (collectively, “Released Parties”) harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), personal injury (including death), property damage (including personal or real property) or expense (including attorneys’ fees) arising out of or in connection with participation in the Sweepstakes, the selection of winners, or the acceptance, use or misuse of any prize. Sponsor will not be responsible for Participants’ failure to receive communications regarding the Sweepstakes due to the provision of incorrect or non-functioning contact information; technical malfunctions; or any typographical, technological or other error in the publishing of the offer, administration of the Sweepstakes or announcement of the prizes.
DISCLAIMER OF WARRANTIES: The Sponsor makes no warranties, and thereby disclaims any and all warranties, express or implied, concerning any prize in connection with the Sweepstakes. Without limiting the generality of the foregoing, such prizes are provided “AS IS” without warranty of any kind, either expressed or implied, by the Sponsor, its Vendors, and the Promotion Parties hereby disclaim all such warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and/or non-infringement.
CHOICE OF LAW: PARTICIPANT AGREES THAT ALL MATTER ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES, THESE OFFICIAL RULES AND THE PRIVACY NOTICE, ARE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAW OF THE STATE OF NEVADA, UNITED STATES, WITHOUT REFERENCE TO THE CHOICE OF LAW PRINCIPLES THEREOF. PARTICIPANT FURTHER AGREES THAT ANY LEGAL SUIT, ACTION, PROCEEDING, DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES AND THESE OFFICIAL RULES, AND THE PRIVACY NOTICE, SHALL BE BROUGHT EXCLUSIVELY IN THE STATE COURTS OF NEVADA LOCATED IN CLARK COUNTY, NEVADA OR THE UNITED STATES DISTRICT COURT FOR THE DISTRICT OF NEVADA.
MANDATORY ARBITRATION: As a condition of participating in this Sweepstakes, except where prohibited by law, Participant agrees that any dispute, claim or controversy arising out of or relating to the Sweepstakes, the award of a prize, or the breach, termination, enforcement, interpretation or validity of the Official Rules, shall be submitted to and determined by JAMS exclusively on an individual, non-class basis pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules. For the avoidance of doubt, Participant agrees that any and all disputes, claims and causes of action arising out of or related to this Sweepstakes or any prize awarded shall be resolved individually and not in the form of any class action or other form of representative action. Participant agrees that, as a condition of participating in this Sweepstakes, Participant waives any right to bring any action arising from or related to the Sweepstakes or the award of a prize as a class or other representative action.
The arbitration shall be held in Clark County, Nevada, before a single arbitrator, who shall be an attorney at law and an experienced commercial and contract law arbitrator. The Sponsor shall bear the cost of the arbitration, including the compensation of the Arbitrator and all administrative expenses. The parties may be represented by their own attorneys in the arbitration proceeding and, except as may otherwise be required by law, shall be responsible for their own attorneys’ fees and costs incurred in presenting their case to the Arbitrator.
The Arbitrator shall have the power to award all legal relief available in a court of law, including any and all damages that may be available for any of the claims asserted, provided, however, that the arbitrator may not award any incidental, indirect, or consequential damages, including damages for lost profits, or any other relief waived under this Agreement. In addition, each of the parties shall retain all defenses that they would have in a judicial proceeding, including defenses based on the expiration of the statute of limitations and that the damages being sought are not authorized or are excessive.
The Arbitrator shall render a written award within thirty (30) Days after the matter is submitted for determination, and the award of the arbitrator shall be final and binding on the parties. Judgment on the award may be entered in any court having jurisdiction. This provision, however, shall not preclude the parties hereto from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction, including preliminary injunctive relief.
YOU AGREE AND ACKNOWLEDGE THAT THE SWEEPSTAKES EVIDENCES A TRANSACTION INVOLVING INTERSTATE COMMERCE AND THAT THIS AGREEMENT IS ENTERED INTO UNDER THE FEDERAL ARBITRATION ACT (“FAA”). ACCORDINGLY, THIS AGREEMENT SHALL BE INTERPRETED AND CONSTRUED IN ACCORDANCE WITH THE LAW AND PROCEDURES DEVELOPED UNDER THE FAA. THE PARTIES SHALL MAINTAIN THE CONFIDENTIAL NATURE OF THE ARBITRATION PROCEEDING AND THE AWARD. YOU AGREE THAT BY PARTICIPATING IN THE SWEEPSTAKES, YOU ALSO ENTER INTO THIS AGREEMENT TO ARBITRATE FREELY AND VOLUNTARILY AND WITHOUT ANY FORM OF COERCION, DURESS OR UNDUE INFLUENCE.
VOID WHERE PROHIBITED: The Sweepstakes is void where prohibited. All federal, state, and local laws apply to the Sweepstakes. Decisions regarding all matters relating to the Sweepstakes that are not addressed in these Official Rules shall be made by Sponsor in its sole and absolute discretion, and each Participant agrees that all such decisions shall be binding and final. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes at Sponsors’ sole and absolute discretion. Sponsor reserves the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules.

Y AVISO DE PRIVACIDAD (“REGLAS OFICIALES”)

LA PARTICIPACIÓN EN EL SORTEO CONSTITUYE SU ACEPTACIÓN DE ESTAR OBLIGADO POR ESTAS REGLAS OFICIALES. ESTAS REGLAS OFICIALES ESTÁN SUJETAS A ARBITRAJE VINCULANTE Y A UNA RENUNCIA A LOS DERECHOS DE DEMANDA COLECTIVA COMO SE DETALLA EN LA SECCIÓN 15 A CONTINUACIÓN.

1. DESCRIPCIÓN DEL SORTEO: El Sorteo Cardenas Paga (“Sorteo”) es una forma de recompensar a nuestros clientes leales, agradecerles por su clientelismo y dar a conocer el nuevo Programa de Lealtad de Cardenas. Cada día durante el Sorteo, cada tienda seleccionará al azar un (1) miembro del Programa de Lealtad de Cardenas para que se le paguen sus compras; sujeto a restricciones. La participación en el Sorteo constituye su aceptación a sujetarse a estas Reglas Oficiales, los Términos y Condiciones de la Aplicación del Programa de Lealtad de Cardenas (“Aplicación”), y constituye su aceptación de que su información se recopile y utilice de acuerdo con la Política de Privacidad del Patrocinador.

2. PERÍODO DEL SORTEO: El Sorteo comenzará el 11 de Septiembre de 2024 a las 07:00:00 a. m., hora de verano pacifico (“PDT”) para las tiendas Cardenas en Las Vegas y continuará hasta el 8 de Octobre de 2024 (colectivamente, el “Período del Sorteo”). (un “Día”).

4. QUIÉN ES ELEGIBLE PARA JUGAR/GANAR: El Sorteo está abierto únicamente a residentes de Nevada, que tengan al menos trece (13) años de edad y sean miembros registrados del Programa de Lealtad de Cardenas (“Participante”). Los requisitos de elegibilidad anteriores son nulos donde lo prohíba la ley.

Las decisiones del Patrocinador serán definitivas y vinculantes con respecto a todos los aspectos del Sorteo. Los miembros del Programa de Lealtad de Cardenas que realicen compras en la tienda podrán recibir una notificación cuando escaneen su Aplicación o ingresen el número de teléfono asociado con su cuenta del Programa de Lealtad de Cardenas de que han sido seleccionados como Posible Ganador. Se le preguntará al Posible Ganador si otorga su consentimiento para que le tomen una fotografía y para compartirla en las redes sociales de Cardenas así como para utilizarla con fines de publicidad. Las compras en línea realizadas a través de servicios de entrega de abarrotes, incluidos, entre otros, Uber Eats, Doordash, Instacart u otros comerciantes en línea, no son elegibles para participar en el Sorteo.

6. PREMIOS Y PROBABILIDADES: Las probabilidades se basan en el número promedio de transacciones por día por tienda en las tiendas de Cardenas. Se seleccionará un (1) Posible Ganador por día y por tienda. Las probabilidades de ser seleccionado como ganador son aproximadamente de 1 entre 700 por tienda de Cardenas por día. El Patrocinador utilizara un software que seleccionará aleatoriamente un Participante por Día por tienda cuando se escanee la Aplicación o se ingrese el número de teléfono asociado con la cuenta de Programa de Lealtad de Cardenas en el dispositivo del punto de venta.

7. REQUISITOS DE RECLAMACIÓN/CANJE DEL PREMIO Y VERIFICACIÓN: La aceptación de un premio ofrecido constituye un permiso expreso para usar el nombre, la información biográfica y/o la imagen del Ganador con fines de publicidad y promoción sin compensación adicional según lo permita la ley asimismo constituye un permiso para revelar el nombre del Ganador donde sea necesario.

Al participar en el Sorteo y aceptar un premio, el Participante ganador otorga permiso al Patrocinador para utilizar su nombre, la imagen y la información biográfica del Ganador en relación con el Sorteo y el anuncio de los Ganadores y para otros fines de publicidad sin compensación adicional ni derecho de aprobación, a menos que sea prohibido por la ley. Los ganadores entienden que el Patrocinador puede publicar el nombre, la imagen y la información biológica del Ganador en el sitio web y las plataformas de redes sociales del Patrocinador (incluidos, entre otros, Facebook e Instagram). Se aplican todas las leyes federales y estatales.

8. RESTRICCIONES GENERALES DEL PREMIO: Si un Posible Ganador es descalificado por cualquier motivo, el Patrocinador puede otorgar el premio a otro Participante o no otorgarlo a su entera discreción. 10. COMUNICADO PUBLICITARIO: Una vez seleccionado un Posible Ganador, se le pedirá al Posible Ganador que dé su consentimiento para el uso de su nombre y una fotografía en las cuentas de redes sociales de Cardenas y en publicidad relacionado con el Sorteo y del Programa de Lealtad de Cardenas. El Posible Ganador otorga permiso a Cardenas para usar su nombre, fotografía y la ubicación de la tienda en todas y cada una de sus publicaciones relacionadas con el Sorteo y el Programa de Lealtad de Cardenas (el “Propósito”) sin pago, incluidas regalías, reconocimiento, u otra consideración. Todas las fotos son propiedad de Cardenas y no serán devueltas, editadas, eliminadas, publicadas ni alteradas de otro modo a petición. Cardenas está autorizado a editar, alterar, copiar, exhibir, publicar o distribuir las fotografías en relación con el Propósito. AVISO DE PRIVACIDAD: Al participar en el Sorteo, los Participantes dan su consentimiento al uso por parte del Patrocinador de su información personal enviada o recopilada en relación con el Sorteo de acuerdo y sujeto a los términos de la Política de Privacidad del Patrocinador, disponible en https://elranchoinc.com/privacy/, que se incorpora como referencia como si se hubiera reformulado en su totalidad en este documento.

12. EXENCIONES Y LIMITACIÓN DE RESPONSABILIDAD: Al participar en este Sorteo, el Participante renuncia a todos los derechos, libera al Patrocinador, a cada tienda participante y a cada una de sus empresas afiliadas, matrices o subsidiarias, y a cada uno de sus respectivos empleados, funcionarios y directores, agentes, representantes, propietarios, gerentes (colectivamente, “Partes Exentas”) de cualquier reclamación, responsabilidad, pérdida, daño (incluidos daños punitivos, incidentales y consecuentes), lesiones personales (incluida la muerte), daños a la propiedad (incluidos daños personales o bienes inmuebles) o gastos (incluidos los honorarios de abogados) que surjan de o en conexión con la participación en el Sorteo, la selección de ganadores o la aceptación, uso o mal uso de cualquier premio. 15. ARBITRAJE OBLIGATORIO: Como condición para participar en este Sorteo, excepto donde lo prohíba la ley, el Participante acepta que cualquier disputa, reclamo o controversia que surja de o se relacione con el Sorteo, la concesión de un premio o el incumplimiento, terminación, aplicación, interpretación o validez de las Reglas Oficiales serán presentadas y determinadas por JAMS exclusivamente de forma individual, no colectiva, de conformidad con sus Reglas y Procedimientos Integrales de Arbitraje y de acuerdo con los Procedimientos Acelerados en esas Reglas. Para evitar dudas, el Participante acepta que todas y cada una de las disputas, reclamos y causas de acción que surjan de o estén relacionados con este Sorteo o cualquier premio otorgado se resolverán individualmente y no en forma de demanda colectiva u otra forma de acción representativa. El Participante acepta que, como condición para participar en este Sorteo, renuncia a cualquier derecho de presentar cualquier acción que surja o esté relacionada con el Sorteo o la concesión de un premio como acción colectiva u otra acción representativa.

El arbitraje se llevará a cabo en el condado de Clark, Nevada, ante un árbitro único, quien será un abogado y un árbitro con experiencia en derecho comercial y contractual. El Patrocinador correrá con los costos del arbitraje, incluida la compensación del Árbitro y todos los gastos administrativos. Las partes podrán estar representadas por sus propios abogados en el procedimiento de arbitraje y, salvo que la ley exija lo contrario, serán responsables de los honorarios de sus propios abogados y los costos incurridos al presentar su caso al Árbitro.

El Árbitro tendrá el poder de otorgar todas los remedios legales disponibles en un tribunal de justicia, incluidos todos y cada uno de los daños y perjuicios que puedan estar disponibles para cualquiera de las reclamaciones formuladas, siempre y cuando, el árbitro no pueda otorgar ningún tipo de compensación incidental, indirecta o daños consecuentes, incluidos daños por lucro cesante, o cualquier otra compensación renunciada en virtud de este Acuerdo. Además, cada una de las partes conservará todas las defensas que tendría en un procedimiento judicial, incluidas las defensas basadas en la expiración del plazo de prescripción y que los daños y perjuicios que se pretenden no están autorizados o son excesivos.

El árbitro deberá emitir un laudo por escrito dentro de los treinta (30) Días posteriores a la presentación del asunto para su determinación, y el laudo del árbitro será definitivo y vinculante para las partes. La sentencia sobre el laudo podrá dictarse en cualquier tribunal que tenga jurisdicción. Esta disposición, sin embargo, no impedirá que las partes del presente busquen soluciones provisionales en ayuda del arbitraje de un tribunal de jurisdicción apropiada, incluyendo medidas cautelares preliminares.

USTED ACEPTA Y RECONOCE QUE EL SORTEO EVIDENCIA UNA TRANSACCIÓN QUE IMPLICA COMERCIO INTERESTATAL Y QUE ESTE ACUERDO SE CELEBRA BAJO LA LEY FEDERAL DE ARBITRAJE (“FAA”). EN CONSECUENCIA, ESTE ACUERDO DEBE INTERPRETARSE Y ENTENDERSE DE ACUERDO CON LA LEY Y LOS PROCEDIMIENTOS DESARROLLADOS BAJO LA FAA. LAS PARTES MANTENERÁN EL CARÁCTER CONFIDENCIAL DEL PROCEDIMIENTO DE ARBITRAJE Y DEL LAUDO. USTED ACEPTA QUE AL PARTICIPAR EN EL SORTEO, TAMBIÉN CELEBRA ESTE ACUERDO PARA ARBITRAR LIBRE Y VOLUNTARIAMENTE Y SIN NINGÚN TIPO DE COERCIÓN, COACCIÓN O INFLUENCIA INDEBADA.

16. NULO DONDE ESTÉ PROHIBIDO: El Sorteo es nulo donde esté prohibido. Todas las leyes federales, estatales y locales se aplican al Sorteo. Las decisiones relativas a todos los asuntos relacionados con el Sorteo que no se abordan en estas Reglas Oficiales serán tomadas por el Patrocinador a su exclusivo y absoluto criterio, y cada Participante acepta que todas dichas decisiones serán vinculantes y definitivas. El incumplimiento de estas Reglas Oficiales puede resultar en la descalificación del Sorteo a discreción única y absoluta del Patrocinador. El Patrocinador se reserva el derecho de descalificar permanentemente de cualquier promoción a cualquier persona que crea que ha violado intencionalmente estas Reglas Oficiales.
